Independent Contractor Agreement

This Independent Contractor Agreement (“Agreement”) is entered into between Reddreach Digital Marketing, LLC, a Florida LLC doing business as RedditConnect (“RedditConnect,” “Company,” “we,” or “us”), and the individual submitting an application or accepting briefs through the Services (“Contributor,” “you,” or “your”).

By submitting an application or accepting a brief, you agree to this Agreement. If you do not agree, do not use the Services.

1) Independent Contractor Relationship

You are an independent contractor, not an employee, agent, partner, or joint venturer of RedditConnect. Nothing in this Agreement creates an employment relationship. You are solely responsible for determining when, where, and how to perform the work, subject to the requirements of any specific brief you choose to claim.

2) Eligibility

To participate as a Contributor, you must:

  • Be at least 18 years old.
  • Reside in a country we currently support (United States, Canada, United Kingdom, Australia, or other locations explicitly approved by us).
  • Maintain a Reddit account in good standing that meets our minimum age and karma thresholds.
  • Have the legal right to enter into this Agreement and accept payments as an independent contractor in your jurisdiction.

3) Briefs & Acceptance

We will make briefs available through our Services. You are under no obligation to claim any brief. By claiming a brief, you agree to:

  • Use only the Reddit account you registered with RedditConnect.
  • Follow the brief instructions, voice guidelines, and disclosure requirements provided.
  • Comply with Reddit's Content Policy, site-wide rules, subreddit rules, and applicable laws, including FTC endorsement and disclosure rules where relevant.
  • Refrain from spam, brigading, manipulation, vote rigging, misleading claims, impersonation, or any conduct that could jeopardize your account or harm a community.

4) Payment Terms

Each brief lists a base payout and any applicable performance bonuses. Approved work is paid out weekly via Stripe Connect (or another payment processor we designate) in U.S. dollars. You are responsible for any currency conversion or processor fees imposed by your bank.

We may reject a submission that does not meet the brief requirements, violates platform rules, or appears to be performed by an account other than yours. Rejected work is not payable.

5) Taxes

You are responsible for all federal, state, and local taxes, national insurance, social security contributions, or other levies arising from your earnings. We will issue tax forms (e.g., Form 1099-NEC for U.S. Contributors) as required by law. You agree to provide accurate tax information when requested.

6) Tools, Expenses & Equipment

You provide your own internet connection, devices, and Reddit account. You bear all expenses of performing under this Agreement unless we expressly agree to reimburse a specific cost in writing.

7) Confidentiality

Briefs frequently include confidential client information (product specs, positioning, pre-launch features). You agree to:

  • Use brief information solely to fulfill the brief and not for any other purpose.
  • Not disclose client identity, brief contents, or compensation to any third party.
  • Not republish, resell, or syndicate any client materials provided to you.

These obligations survive termination of this Agreement for three (3) years, except for trade secrets, which survive indefinitely.

8) Intellectual Property

You grant RedditConnect and the applicable client a perpetual, worldwide, royalty-free, sublicensable license to use, display, and repurpose the content you publish in connection with a brief. You represent that all content you submit is original, does not infringe third-party rights, and complies with applicable laws.

9) Account Anonymity

We do not disclose your Reddit username or personal identity to clients. We share only anonymized performance metadata required to measure delivery and quality.

10) Quality & Compliance Reviews

We may audit submissions at any time to verify compliance with this Agreement, the brief, and applicable platform rules. Repeated violations, manipulation attempts, or evidence of low-quality spam may result in suspension, forfeiture of pending payments, or permanent removal from the network.

11) Term & Termination

This Agreement starts when you submit your application and continues until terminated by either party. We may suspend or terminate your participation at any time, with or without notice, for any reason, including for breach of this Agreement. You may stop accepting briefs at any time. Earned payouts for approved work will be paid on the next scheduled payout cycle.

12) Indemnification

You agree to indemnify and hold harmless RedditConnect, its affiliates, and clients from any claims, damages, or expenses arising out of your breach of this Agreement, violation of Reddit rules or applicable law, or content you publish under a brief.

13) Disclaimers & Limitation of Liability

The Services are provided “as is.” To the maximum extent permitted by law, our aggregate liability arising out of or related to this Agreement will not exceed the total amount paid to you in the six (6) months preceding the event giving rise to the claim.

14) Governing Law & Disputes

This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising under this Agreement will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction there.

15) Changes

We may modify this Agreement from time to time. Material changes will be communicated through the Site or by email. Your continued participation after the effective date constitutes acceptance of the revised Agreement.
